Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Lyceum (“Lyceum,” “we,” “us,” or “our”) and govern your access to and use of the Lyceum platform, websites, and services (the “Service”). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Lyceum provides software that lets creators and organizations (“School Owners”) build and operate online schools, courses, communities, and related tools. We provide the software “as a service”; we do not create, own, endorse, or vet the courses, communities, products, or other content that School Owners or their members publish.

2. Accounts

You are responsible for your account, for keeping your credentials secure, and for all activity under your account. You must provide accurate information and be old enough to form a binding contract in your jurisdiction. We may suspend or terminate accounts that violate these Terms.

3. Billing, Cancellations & Credits

Paid plans and add-ons are billed in advance on a recurring basis (for example, monthly) through our payment processor. By subscribing you authorize us to charge your payment method for the then-current fees and any applicable taxes until you cancel in accordance with this section.

• All sales are final. Once a payment has been processed, it is non-refundable. We do not provide cash refunds for any subscription fee, add-on fee, or other charge, in whole or in part, including for unused time, downgraded plans, or features you did not use.
• Cancellations take effect after 15 days. To cancel, you must submit a cancellation request. Cancellation becomes effective fifteen (15) days after we receive your request. Your subscription, access, and billing continue during that 15-day period.
• Charges during the notice period are not refunded. If your normal billing date occurs during the 15-day cancellation period, that charge will still be processed and is not refundable.
• Goodwill is issued as credit, not cash. If, at our sole discretion, we choose to make an accommodation, it will be provided as non-cash account credit applicable to future Lyceum charges. Account credit has no cash value, is non-transferable, cannot be redeemed or exchanged for money, and may expire.
• Price changes. We may change fees on a prospective basis with reasonable notice; continued use after a change takes effect constitutes acceptance.
• Failed payments. If a charge fails, we may retry, suspend, or terminate access until amounts due are paid.

This section describes Lyceum's billing of School Owners. School Owners set their own separate prices, billing, and refund policies for their members and are solely responsible for them.

4. Payments to School Owners

Payments from members to a School Owner are processed by third-party payment providers (such as Stripe) through the School Owner's own connected account. Lyceum may collect a platform fee on those transactions. Lyceum is not the merchant of record for a School Owner's sales and is not responsible for delivering a School Owner's products, issuing their refunds, or resolving disputes between a School Owner and their members.

5. Acceptable use

You agree not to use the Service to break the law; to post or sell unlawful, infringing, harmful, deceptive, or adult-exploitative content; to harass others; to send spam; to attempt to breach security or access data not meant for you; to scrape or overload the Service; or to misuse AI features. We may remove content or suspend accounts that, in our judgment, violate these rules.

6. Content and intellectual property

You retain ownership of content you upload. You grant Lyceum a worldwide, non-exclusive license to host, store, reproduce, and display that content solely to operate and improve the Service. You represent that you have the rights to your content and that it does not infringe others' rights. We respect intellectual property and will respond to valid takedown notices; repeat infringers may be terminated.

7. Third-party services and AI

The Service relies on third parties (including payment, video, email, hosting, and AI providers). We are not responsible for third-party services, their availability, or their acts or omissions. AI-generated output (including notes, quizzes, assistant responses, and avatar videos) may be inaccurate or incomplete; you are responsible for reviewing it before relying on or publishing it.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any content or AI output is accurate.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYCEUM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING FROM OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID LYCEUM IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify and hold harmless Lyceum and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your content, your use of the Service, your products or services sold through the Service, or your violation of these Terms or any law or third-party right.

11. Termination

You may stop using the Service at any time, subject to the billing and cancellation section above. We may suspend or terminate access if you violate these Terms or if necessary to protect the Service or others. On termination, the license you grant us ends except as needed for backups, legal compliance, and the sections that by their nature survive (including billing, disclaimers, liability, and indemnification).

12. Governing law and disputes

These Terms are governed by the laws of the United States and the state in which Lyceum is established, without regard to conflict-of-laws rules. You agree that any dispute will be resolved in the courts located there, and you consent to their jurisdiction, except where applicable law provides otherwise.

13. Changes to these Terms

We may update these Terms from time to time. We will update the date above and, for material changes, provide reasonable notice. Your continued use after changes take effect means you accept the updated Terms.
